These Terms of Use ("Terms") govern your access to and use of windadv.com (the "Site"), operated by Windridge Group, Inc. ("Windridge," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. General information only
The Site provides general information about Windridge, its experience, services, perspectives, and selected engagements. Site content is not legal, tax, accounting, investment, valuation, financing, or other professional advice and should not be relied upon as a substitute for advice tailored to your circumstances.
Content may become outdated, incomplete, or inaccurate as markets, businesses, regulations, and Windridge's services change. Windridge does not undertake to update every item of content.
2. No offer or solicitation
Nothing on the Site constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any security, investment, financing, transaction, or strategy. No securities offering is made through the Site.
Any securities-related activity is subject to separate review, applicable law, regulatory requirements, appropriate documentation, and the involvement of the relevant registered broker-dealer.
3. Securities-related services and Britehorn
Certain securities-related M&A advisory and capital-raising services are offered through Britehorn Securities LLC, a FINRA- and SEC-registered introducing broker-dealer and member FINRA/SIPC. Windridge Group, Inc. is not a broker-dealer. Registered personnel operating under the Windridge brand are supervised by Britehorn for securities-related activities.
Britehorn and Windridge are separate entities. Additional information is available through Britehorn's regulatory disclosures and FINRA BrokerCheck.
4. No professional relationship through the Site
Viewing the Site, submitting a form, sending an email, or participating in an introductory conversation does not create a client, advisory, fiduciary, brokerage, investment-banking, confidential, or other professional relationship with Windridge or Britehorn.
An engagement exists only after conflicts, compliance, scope, fees, and other terms have been reviewed and the appropriate parties enter into a written agreement. Windridge and Britehorn may decline an inquiry for any lawful reason, including conflicts, capacity, fit, regulatory requirements, or the absence of an agreed engagement.
5. Inquiries and confidential information
Windridge handles legitimate business inquiries with discretion. However, website forms and unsolicited emails are not privileged communication and should not be used to transmit highly sensitive information, trade secrets, material nonpublic information, personal financial account information, or documents subject to a confidentiality restriction.
Do not assume that information is protected by a nondisclosure agreement or professional duty until the relevant agreement and relationship are in place. Windridge may need to share a securities-related inquiry with Britehorn for supervision, compliance, conflicts, or regulatory purposes.
6. Recent Work and experience
Recent Work pages and other experience references are intentionally anonymized. Approximate values and generalized descriptions are provided for context. They describe work performed and do not state or imply that a transaction closed, failed, remains active, achieved a particular valuation, or produced a particular result.
Past work, examples, and experience do not guarantee a future result. Every engagement depends on facts, market conditions, counterparties, execution, and decisions outside Windridge's control.
7. Insights and other editorial content
Insights articles express general observations and frameworks, not recommendations for a particular company or transaction. Examples may be simplified and should not be treated as a complete statement of the issues relevant to a decision.
You are responsible for obtaining appropriate legal, tax, accounting, financing, regulatory, and other professional advice before acting.
8. Intellectual property
Unless otherwise stated, the Site and its content—including text, design, graphics, diagrams, code, trademarks, logos, and compilation—are owned by Windridge or used with permission and are protected by applicable intellectual-property laws.
You may view and print limited portions of the Site for your personal or internal business reference. You may not reproduce, republish, distribute, sell, scrape, train a model on, create derivative works from, or commercially exploit Site content without prior written permission, except as permitted by law.
Windridge, the Windridge name and marks, and associated branding may not be used in a way that suggests endorsement, affiliation, or approval without written permission. Third-party marks belong to their respective owners.
9. Acceptable use
You agree not to:
- Use the Site for unlawful, fraudulent, deceptive, or abusive activity
- Attempt to gain unauthorized access to the Site, systems, credentials, or data
- Interfere with operation, security, or availability
- Bypass rate limits, bot protections, or access controls
- Introduce malware, harmful code, or automated traffic that burdens the Site
- Submit false identity or contact information
- Harvest contact details or personal information
- Use Site content in a way that infringes intellectual-property, privacy, or other rights
- Misrepresent Site content as professional advice or as an offer of securities
Windridge may restrict or block access when reasonably necessary to protect the Site or others.
10. Third-party links and services
The Site may link to third-party websites and services, including LinkedIn, DealLeads, Britehorn, FINRA BrokerCheck, and other resources. Links are provided for convenience and do not constitute an endorsement of all content, products, or practices on those services.
Windridge does not control third-party services and is not responsible for their availability, accuracy, security, terms, or privacy practices. Your use of a third-party service is governed by its own terms.
11. Privacy
Use of personal information collected through the Site is described in the Privacy Policy. By using the Site, you acknowledge that information may be processed as described there.
12. Disclaimer of warranties
To the maximum extent permitted by law, the Site is provided on an as is and as available basis. Windridge disclaims all express and implied warranties, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, noninfringement, security, and uninterrupted availability.
Windridge does not warrant that the Site will be error-free, that defects will be corrected, or that the Site or its servers will be free of harmful components.
13. Limitation of liability
To the maximum extent permitted by law, Windridge and its directors, officers, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, opportunity, goodwill, or business interruption arising from or related to the Site or these Terms.
To the maximum extent permitted by law, Windridge's aggregate liability arising from or related to the Site or these Terms will not exceed one hundred U.S. dollars. Some jurisdictions do not allow certain exclusions or limitations, so part of this section may not apply to you.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Windridge and its directors, officers, employees, contractors, and representatives from claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another person's rights.
15. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute arising from the Site or these Terms that is not subject to another written agreement will be brought in the state or federal courts located in Los Angeles County, California, and the parties consent to their jurisdiction and venue.
16. Changes
Windridge may update these Terms from time to time. Updated Terms will be posted on this page with a revised Last updated date. Your continued use of the Site after an update constitutes acceptance of the revised Terms.
17. Severability and waiver
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of the right to do so later.
